NNOX - ZEBRA 합병 및 USARAD 인수 소식.

8월 10일 NNOX에서 핵심적인 2가지 발표를 하였다.  바로 Zebra와의 합병과 USARAD 인수 소식이다.  이 합병으로 나녹스는 로고와 홈페이지가 모두 바뀌었다. 어떤 방식으로 합병 및 인수를 진행하는지 살펴보자.

Form 6-K 에 밝힌 내용 중 핵심 내용 몇 줄만 살펴보았다. 

 

1. Zebra의 합병은 어떤 방식으로 진행 되는가 ?

The Company announced that it has entered into an agreement to acquire a leading medical artificial intelligence (AI) developer Zebra Medical Vision for a total of $100 million upfront, and up to another $100 million tied to achievement of specific milestones, all to be paid in Nanox shares.

 

다음에 따르면 AI 선두적인 기업인 Zebra Medical 회사에 선불금 1억 달러를 지급하고, 이후 나머지 1억 달러를 지불하겠다고 밝혔다. 지불 방식은 NANOX 의 주식이다. 

 

Zebra-Med is expected to be run as a wholly owned subsidiary under the Nanox brand.

 

또한 Nanox 의 자회사로 온전하게 소속되는 것이라고 밝혔다. 

 

 

2. USARAD 의 인수는 어떤 방식으로 진행되는 가? 

Under the terms of the binding letter of intent, Nanox anticipates purchasing all of the shares of USARAD and all of the assets of its related company Medical Diagnostics Web, or MDW, for a total consideration of $30 million in stock and cash for both companies.

USARAD는 총 3000만 달러의 주식과 현금을 통해 인수하겠다고 밝혔다. 세부적으로 내용을 살펴보면, 총 2700만 달러를 USARAD 인수 비용으로, 관련 회사인 MDW에는 300만 달러를 지불할 것이라 밝혔다. 이 중 2100만 달러를 현금으로, 나머지 900만 달러를 주식으로 지급하게 된다.
